Duties and Responsibilities of Board of Commissioners
The duties and responsibilities of the Board of Commissioners are contained in the Guideline of Board of Commissioners as approved on 22nd August, 2016 and the Company’s Articles of Association, as well as according to the prevailing laws and regulation.
The Board of Commissioners carries out and responsible for supervision to the management policy, management operation in general or business of the Company, and provide advice to the Board of Directors. In the implementation of its duties, the Board of Commissioners establishes the Audit Committee and Nomination and Remuneration Committee to assist them for reviewing and issuing the recommendation for also has task to carry out supervision of risk management and efectiveness of corporate governance implementation in the Company.
The Board of Commissioners is appointed by the GMS to serve for a term than runs from the date determined at the General Meeting of the Shareholders concerned until the closing of the ffth Annual GMS following the appointment of such commissioner concerned. Upon reaching the end of their term members of Board of Commissioners may be reappointed for a subsequent term. In the event of substitution prior the end of a term, the new member of the Board of Commissioners will serve for the remaining term of such substituted Commissioner.
Duties and Responsibilities of Board of Directors
The duties and responsibilities of the Board of Directors are contained in the Guideline of Board of Directors as approved on 22nd August, 2016 and the Company’s Articles of Association, as well as according to the prevailing laws and regulation. In general The Board of Directors shall perform and be responsible for the Company’s management in the interest of the Company according to the Company’s aims and objective stipulated in the Articles of Association. The Members of Board of Directors shall carry out the tasks and responsibility in good faith, full responsibly, and prudent.
